Direct Placements are privately negotiated, off market common stock sales whereby the issuer sells a discounted block of registered shares to the investor. In exchange for cash, the shares are delivered unencumbered, without any restrictions. This structure is primarily the domain of more mature issuers and whose securities trade on senior exchanges (i.e. NYSE, Nasdaq, LSE & Hong Kong’s “Main Board”).
